Source Codes and
Copyrights

SPA Delhi will retain all the source codes and
copyrights. No royalty fees will need to be paid to the vendor for their use. And for
security point of view source code must not be available to the users/viewers.

1.14

During the service contract per
iod the firm shall provide the complete log analysis
quarterly and rectification of defects if necessary.

1.15

Website shall be provided with user, member’s login, CMS login and password security.
No unauthorized access to the website shall be possible.

1.16

All the

transactions such as data entry payment SMS shall be store with users name and
complete log analysis will be done, so that accountability of user can be done.

ASSURANCE/LEGITIMIZATION

1.1

The contract should clearly outline the project deliver
ables and processes so both parties
are 100% clear on what will be achieved as an end result. As part of the contract, make
sure that the following has been agreed to cover any unforeseen circumstances.

Image/Content Rights: Clearly state that any supplied

content or imagery that is handled to
you remains the school’s assets.

1.3

Set reasonable timelines that are fair to school as well as manageable for selected vendor
and their team.

PENALTY:


If the Contractor fails to implement the schedule
of services to the satisfaction of the School on any
day in any part of the areas assigned, the Contractor shall

be penalized by a fine of Rs.10

28.
ARBITRATION CLAUSE


All disputes and claims shall be settled by arbitration, in accordance with the provisions of the
Indian Arbitration Act, 1940, or any statutory requirements thereof and shall be referred to the
Sole Arbitrator to be appointed by the Sc
hool. The Contractor shall not be entitled to raise
any objection whatsoever in the event of the School appointing any or its officers or
employees as the Sole Arbitrator. The reference to the Arbitrator shall be within the teand
conditions of the agreem
ent. The award given by the Arbitrator shall be final and binding on
both the parties i.e. School and the Contractor.
