WHEREAS


FIRST
: The USC is a Public Law Entity that carries out activities for scientific and
te
chnological training, research and development, and is interested in collaborating with
the social and economic sectors in order to ensure one of the goals of training and
research, namely innovation and the modernisation of the production system.


SECOND
: According to clause 4 of the USC’s statutes for improving the development
of its functions, the University of Santiago de Compostela should promote relationships
with other Universities, organisations and institutions, especially with those of an
academi
c, scientific and cultural nature.

FIRST


THE GOAL OF THIS FRAMEWORK AGREEMENT


The goal of this agreement is to set up a framework for collaboration between the USC
and ..................... in research activities.




SECOND

Carrying out joint research projects and programmes by the USC Institutes and/or

parties of the activities that make up the goal of this Framework Agreement



THIRD


RULES FOR COLLABORATION


Researchers from the USC will take part in the activities mentioned in this agreement in
a
ccordance with the USC’s internal regulations, expressed in its Statutes and in the
Rules for carrying out research activities under what is set forth in clause 83 of Organic
Law 6/2001, concerning universities, and in accordance with the Law of
Incompatib
ilities for Civil Servants and the Organic Law for Universities.


Any collaboration resulting from this Framework Agreement shall be subject to these
rules and to those agreed for each specific agreement, bearing in mind the nature of the
collaboration and

the centre where work is done.


FOURTH


CONTENT OF SPECIFIC AGREEMENTS


Each project and/or programme in the framework of this Agreement shall be the object
of a Specific Agreement/Contract, which should contain, among others, the following
aspects:




Definition of the goal of the project




A description of the work plan, including its different phases and deadlines




A complete proposal of the material and human resources required, specifying the
contributions by each entity




Rules for co

ordination, ex
ecution and follow
-
up of the project




Rules about confidentiality, industrial property and the publication and use of the
results obtained in the course of the project




The names of two people, one from each institution, who shall be appointed by
mutual ag
reement and shall be responsible for fulfilling the Agreement


FIFTH


SETTING UP THE MIXED COMMITTEE


In order to facilitate the carrying out of specific agreements, their follow
-
up and
fulfilment, a Mixed Committee shall be set up, consisting of:

SIXTH


FUNCTIONS OF THE MIXED COMMITTEE


The Mixed Committee shall have the following functions, among others:




Proposing possibilities for collaboration in topics of

common interest




Preparing specific agreements under this Framework Agreement for selected
matters, within the collaboration modes set forth in the second clause




Taking the proposals made to the competent bodies within the two parties




Following up on th
e Specific Agreements that may be signed, clarifying and
deciding on any doubts that may arise in the interpretation and execution thereof.



SEVENTH


PERSONNEL


Both the USC and ................... shall be able to place some of their lecturers or
tec
hnicians at the disposition of the other institution. The entity they proceed from shall
be responsible for their salary and other civil obligations. Such workers shall be obliged
to fulfil the rules in force at the centre where they are going to work.

EQUIPMENT



Any equipment provided by one party in the project shall remain in its ownership. The
ownership of real estate and equipment purchased or built within the framework of a
common project shall be determined by the corresponding specific
agreement in each
case.


NINTH


CONFIDENTIALITY AND PUBLICATION OF RESULTS


Each party hereby undertakes not to publish in any format the scientific or technical
information (Information) belonging to the other party, and to which it could have
access un
der this Framework Agreement, and in the definition and preparation of the
projects related to the Specific Agreements to be signed, unless such information
belongs to the public domain.


In this regard, the party that receives such Information shall maint
ain it in
confidentiality and strict secrecy, and shall not reveal it to anyone except authorised
employees and only then when it is necessary for the fulfilment of the Agreement. In
any case, each party should previously obtain from such employees a commi
tment to
maintain such secrecy and do everything possible to reinforce this commitment.


Both parties mutually authorise each other to provide public information about the
signing of this Agreement, including its title and duration.


TENTH


INTELLECTUAL

AND INDUSTRIAL PROPERTY


All Information revealed for the purpose of this Agreement shall be the exclusive
property of the party it originated from. No licence or anything similar should be
inferred from the exchange of Information between the parties. Ne
ither party shall use
the other’s Information for its own benefit.


Ownership and use of the results from projects carried out under this general agreement
or under any of the specific agreements shall be decided for each individual case in the
previous c
ontract referred to in the Fourth Clause.


ELEVENTH


COMING INTO FORCE AND DURATION


This Framework Agreement shall come into force on signing and shall last for two
years. The general agreement can be renewed by mutual agreement. The agreement
shall be
automatically renewed for
successive
two
-
years

periods,

unless one of the
parties expresses otherwise. Both parties reserve the right to terminate this agreement in
writing with six months’ notice before the date of termination. In both cases, all work in
a Specific Agreement that is in force should be completed.
