SPECIFICATIONS


1.

BACKGROUND:


The University of Maryland at College Park (UMCP) requires the services of a qualified firm to inspect
and certify UMCP's Biological Safety Cabinets (BSC) as to their proper operation.

There are
approximately 230 Class II Type A biological safety cabinets presently in use on campus, including those
at the Institute for Bioscience and Biotechnology Research (IBBR). (See Attachment I). Currently we
have no Class II Type B cabinets, but a
re asking for pricing in the event that we may acquire them in the
future. The services, for which this bid will establish firm, contract prices, will include:



annual certification

of BSCs



labor and parts for
BSC formaldehyde decontamination

and repairs to the cabinets, such
as repairing or replacing motors, switches, UV light tubes, in
dicator lamps, and HEPA
filters



space decontamination of 1271 ft

BSL3 suite, including spore strip validation


User

will

be billed to and paid for by the principal user with grant or department
funds. Vendor will be responsible for confirming that service is desired before performing work.
Payment for these services will be provided by the individual users in the form of
SM (Small Order)

STATEMENT OF WORK FOR USER

AND DEPARTMENTAL

FUNDED SERVICES:


All test procedures used to certify Class II BSCs shall be in accordance with the appropriate and
most current test procedures(s) listed in the following documents:





National
Sanitation Foundation, Standard #49, Class II (Laminar Flow) Biohazard Cabinetry, current
edition.



CDC’s Biosafety in Microbiological and Biomedical Laboratories, current edition.

a)

The cost of on
-
site certification of BSC does not include parts needed for
repairs (e.g. light
bulbs and switches)


b)

Poly alpha olefin shall be used in lieu of dioctylphtalate for all HEPA filter leak tests. All
annual certifications shall be performed once each fiscal year and within one year of the
previous certification. Trav
el to and from the site shall be included in the contract cost.


3.

SCOPE OF SERVICES
,
Certification of Biosafety Cabinets:



The contractor shall:



a)

Provide and perform all necessary labor and materials for annual on
-
site certification of various Class
II (Types A and B) BSCs. A list of cabinets will be provided by DES, which may be updated

as needed.
All "containment related" and "worker comfort and safety" related tests (except for cabinet leak test and
vibration) listed in the most current edition of
NSF Standard #49 shall be done
. These include, but are
not limited to:




1. Downflo
w velocity and volume test




2. Inflow velocity test




3. Airflow smoke patterns test




4. HEPA filter leak tests of supply and exhaust filters.




5. Electrical leakage and ground circuit resistance and polarity tests.




6. Lighting intensity
test




7. Noise level test




8. UV lamp test


b)

Adjust
exhaust and supply controls to achieve correct air balance when possible, and level cabinet
if

necessary.


c)

Perform certification as described in A above
after

cabinets are moved as requested by the
Biological Safety Officer (BSO)


d)

P
erform cabinet leak test (soap bubble test) for Class II Type A1 cabinets when cabinet is
new and after it has been moved as requested by the BSO.


e)

Schedule certifications with the p
rincipal user of each hood, with notification of the scheduled date
given to the BSO. The BSO must be contacted before
any

services can be provided to a principal user.
All services are to be performed during the hours of 8:00 am to 5:00 p.m., Monday t
hrough Friday,
excluding University Holidays. When scheduling certification or repairs, the contractor shall request the
user to empty the cabinet and disinfect interior surfaces with an appropriate disinfectant.

It is not the
contractor’s responsibilit
y to remove any items from the cabinet. Name, room number, telephone
number of the department business managers will be given to the contractor to aid in locating the
laboratories and principal users.


f)

Observe the necessary safety precautions throughout
the performance of this contract. At a
minimum, the contractor shall provide his personnel with disposable gloves, and lab coats or overalls,
which will be worn when performing duties. Any personal protective equipment required by
contractor's personnel

for the safe performance of work shall be determined and provided by the
contractor. The contractor personnel shall follow at all times, the appropriate laboratory safety practices

provide a written certification report to the principal user that
lists at minimum, the
certifications or inspections done, the test results and information regarding the
following:

h)

If the cabinet DOES NOT pass certification,
post a notice on the cabinet which states "THIS
BIOSAFETY CABINET DOES NOT MEET NSF STANDARDS!,” explain to the principal user what
the
problems appear to be, and provide the user with the above written report, as well as a cost estimate
for repairs.


i)

Send copies of all certification reports, with a corresponding invoice, to the BSO, weekly.
On a daily
basis
, notify the BSO of any
cabinets that did not pass certification. Re
-
certification of cabinets, when
requested by BSO, will be at an additional charge as listed on the Price Quotation Sheets.


k) The contractor is to provide a written certification report for
all

cabinets, incl
uding those that do not
pass certification. If the cabinet does not satisfactorily perform tests for UV light intensity
measurements, noise level, or lighting intensity, but does satisfy all other requirements, the cabinet may
be considered to have passed

certification. The contractor shall report the actual value of the lighting
intensity with a light meter.


l)

When requested by the BSO, perform re
-
certifications following BSC repairs done by other (non
-
contract) vendors, following all Part I requirements.



SCOPE OF SERVICES:

Repairs and gaseous decontamination of biosafety cabinets
:

a)

Perform repairs to Biological Safety Cabinets as needed for the cabinet to pass certification, if agreed
by the principal users. (Please note that some users may choose to obtain repair services from vendors
other than the contract vendor.) This may inclu
de HEPA filter replacement. Contractor to then
certify the BSC at no additional cost.

b)

Contractor shall respond, on
-
site, to requests for emergency service within 2 working days after a call
from the principal user or BSO.


c)

For all repairs provide
a written service report, which itemizes the hourly labor charges and a list, with
cost, of any parts replaced. Copies of the service reports are to be sent to the BSO.

d)

Dispose

of used, decontaminated HEPA filters. These filters shall be disposed of in the
University's dumpsters, un
less there is a possibility of a chemical hazard associated with the
filters. If there is a possibility of a chemical hazard, the contractor is to notify the BSO, who
will provide a burn box for the contractor to deposit the filter in. DES will then be
re
sponsible for disposal of the
burn
box and filter.


e)

Provide gaseous paraformaldehyde decontamination of BSC prior to repairing or replacing
component located in contaminated plenums. Gaseous paraformaldehyde decontamination
of BSC shall be performed prior

to certification when deemed necessary by the contractor
with the concurrence of the BSO. Provide below detailed procedures on how
decontamination will be accomplished, including the use of appropriate biological and/or
chemical monitoring materials, and

neutralization of formaldehyde before exhausting to the
outside.

LIABILITY

1.

INDEMNITY

-

Contractor agrees to indemnify and save the University harmless from any
claims or demands (including the costs, expenses and reasonable attorney's fees on account
thereof) that may be made: (1) by anyone for injuries to persons or damage of property
r
esulting from Contractor's acts or omissions or those of persons furnished by Contractor, or
(2) by persons furnished by Contractor or Contractor's subcontractors under Workmen's
Compensation or similar acts. Contractor agrees to defend the University at
our request,
against any such claim or demand. The University agrees to notify Contractor promptly of any
known written claims or demands against the University from which Contractor is responsible
hereunder.


2.

INSURANCE

-

Contractor shall maintain, during

Insurance, Public Liability Insurance, and if the contract requires use of an automobile,
Automobile Liability Insurance in compliance with and in amounts required by statute.
Contractor shall also require its subc
ontractors, if any, who may enter upon our premises to
maintain such insurance. Contractor and its subcontractors shall furnish the University, when
requested, with copies of policies or other satisfactory proof of insurance.


COMPLIANCE WITH LAWS

-

Contr
actor agrees that it will comply with the provisions of the
Fair Labor Standard Act of 1938, as amended, and all other applicable Federal, State, County
and Local laws, ordinances, regulations and codes, including but not limited to those referenced
in the

purchase order or in this contract below, in the performance of this contract, including the
procurement of permits and certificates where needed, and Contractor further agrees to
indemnify the University for any loss or damage that may be sustained by re
ason of Contractor's
failure so to do.


UNIVERSITY WORK RULES

-

Employees and agents of either of the parties shall, while on
the premises of the University, comply with all University rules and regulations including, where
required by Government Regulatio
ns, submission of satisfactory clearance from the U.S.
Department of Defense or other Federal Authority concerned.


Contractor shall acquaint itself with conditions governing the delivery, receiving and storage of
materials at the work site if applicable t
o this work, as not to interfere with University operations.
Contractor shall not stop, delay, or interfere with University work schedule without the prior
approval of the University's specified representative.


HARMONY

-

Contractor shall be entirely re
sponsible for working in harmony with all others on
the work site when Contractor is working on our premises.


CLEAN UP

-

Upon the completion of the work, Contractor agrees to remove promptly all
implements, surplus materials and debris if applicable when it is working on the University
premises.


WARRANTY

-

Contractor further warrants that material and/or services furnish
ed hereunder
will be free from defects in material and workmanship where applicable.


MODIFICATIONS

-

The University may modify this contract provided that written notice is
given to the Contractor. All additions and deletions to this contract and its rid
er(s) must be
initialed by both parties in order to be valid. This contract and any rider(s) thereto represent an
integrated contract. The parties will therefore be responsible only for these items expressed in
such integrated contract, irrespective of a
ny additional or contrary oral or written statements or
representations.


3.

NON
-
HIRING OF EMPLOYEES

-

No employee of the State of Maryland, or any department,
commission, agency or branch thereof, whose duties as such employee include matters relating
to or
affecting the subject matter of this contract, shall, while such employee, become or be an
employee of the party or parties hereby contracting with said State of Maryland, or any
department, commission, agency or branch thereof.

4.

INDEPENDENT CONTRACTOR

-

It

is understood and agreed that the Consultant is an
independent contractor of the University and not an employee. The University will not
withhold income taxes, social security, or any other sums from the payments made to the
Consultant hereafter. If the

Consultant employs additional persons in the performance of this
Contract, those persons shall in no way be considered employees of the University, but rather
they shall be employees or contractors of the Consultant and the Consultant bears full
responsib
ility for compensating those persons. The Consultant shall in no way hold himself
out to any third person as an agent of the University.


5.

DISPUTES

-

This contract shall be subject to the provisions of Article 21, Title 7
(Administrative and Civil Remedies
) of the Annotated Code of Maryland and COMAR 21.10.
Pending Resolution of a claim, the Contractor shall proceed diligently with the performance of
the contract in accordance with the procurement officer's decision.


6.

GENERAL TERMS


1.

The validity, interpr
etation and effect of this contract and any rider(s) thereto shall
be governed by the laws of the State of Maryland. The laws of the State of Maryland shall
govern all rights, obligations, remedies and liabilities arising pursuant to this contract and any

rider(s) thereto.



2.

This Contract shall not be deemed or construed to be modified, amended,
extended, rescinded, canceled, or waived in whole or in part, except by written amendment of the
parties hereto.



3.

This Contract may not be assigned or other
wise transferred by Consultant.



4.

In the event that any of the terms of this Contract is or becomes or is declared to
be invalid or valid by any court or tribunal of competent jurisdiction, such term or terms shall be
null and void and shall be deemed
severed from this Contract and all the remaining terms of this
Contract shall remain in full force and effect.



5.

No action, regardless of form arising out of this Contract may be brought by
either party more than one (1) year after the cause of action h
as arisen.



6.

No waiver by either party of any breach of any provision of this Contract shall
constitute a waiver of any other breach of that or any other provision of this Contract.

The University actively subscribes to a policy

parties and shall supersede all previous communications, representations, and/or understandings,
either written or verbal,
between parties, to the subject matter hereof.

It is mutually agreed that Consultant's contract form or agreement is supplemental and
subordinated to the University of Maryland Consultant Contract. The terms and conditions of
this University of Maryland C
onsultant Contract and the rights, privileges, duties and obligations
arising pursuant thereto shall in the event of conflict and at all other times and in all events and
situations be controlling.


SUSPENSION OF WORK

-

The University unilaterally may orde
r the Consultant in writing to
suspend, delay, or interrupt all or any part of the work for such period of time as it may
determine to be appropriate for the convenience of the University.


TERMINATION FOR DEFAULT

-

If the contractor fails to fulfill its o
bligations under this
contract properly and on time, or otherwise violates any provision of the contract the State may
terminate the contract by written notice to the Contractor. The notice shall specify the acts of
omissions relied on as cause for termin
ation. All finished or unfinished supplies and services
provided by the Contractor, shall at the State's option, become the State's property. The State
shall pay the Contractor fair and equitable compensation for satisfactory performance prior to
receipt

of notice of termination, less the amount of damages caused by Contractor's breach. If
the damages are more than the compensation payable to the Contractor, the Contractor will
remain liable after termination and the State can affirmatively collect damag
es.


TERMINATION FOR CONVENIENCE

-

The performance of work under this contract may be
terminated by the State in accordance with this clause in whole, or from time to time in part,
whenever the procurement officer shall determine that such termination is i
n the best interest of
the State. The State will pay all reasonable costs associated with this contract that the Contractor
has incurred up to the date of termination and all reasonable costs associated with termination of
the Contract. However, the Cont
ractor shall not be reimbursed for any anticipatory profits that
have not been earned up to the date of termination.


LIQUIDATED DAMAGES

-

Time is an essential element of this Contract, and it is important
that the work be vigorously prosecuted until compl
etion. Consultant is expected to appear at
scheduled meeting on time, to prepare reports, send letters and to meet all scheduled deadlines.
For each day that Consultant fails to provide service, as fails to provide service, as scheduled,
Consultant shall

be liable for liquidated damages in the amount of One Hundred dollars
($100.00).

TERMS AND CONDITIONS


A. TERM OF CONTRACT
-
. This is a yearly contract, with the inspection and all other charges
to be held firm for a minimum of one year.


B. EXTENSION OR TERMINATION OF CON
TRACT: the University of Maryland reserves
the right to extend the contract resulting from the award of this RFQ, for up to 5 additional 1 year
periods with the same terms and conditions, provided that funds are appropriated or otherwise
made available to

support continuation of performance in any fiscal period succeeding the first.


C. PRICES DURING THE EXTENSION PERIODS: If the vendor asks for a price increase in
the inspection charge, the University will accept only the increase necessary to cover
material
and/or transportation increases subject to the same terms and conditions with rates adjusted for
actual labor rates only based upon wage increased in the Consumer Price Index (CPI), as
published by the Bureau of Labor & Standards. Increases in ex
cess of five percent (5%) will not
be considered. All firms will be required to provide this information at the time of any rate
increase request. All price increases are to be submitted 30 days prior to the start of each
extension year. If accepted, n
o further requests for increase will be considered during that
period. The University reserves the right to reject the proposed price increase, and cancel the
contract.


D. MASTER ORDER CONTRACT RELEASE: Releases from the contract that will result
from this RFQ may be in the form of a “Master Contract Release.” A master contract is a
formal agreement between the University and a vendor to supply goods and/or services,
at a
published price or basis of pricing, for a specified time period. Speaking broadly, any
department or unit associated with the University of Maryland, College Park is eligible to make
purchases from a master contract; often other campuses of the USM
may also be eligible to make
purchases from a master contract. Master contracts are generally established in advance of a
specific need, based on the Department of Procurement and Supply’s anticipation of University
requirements. Purchases can be made di
rectly from the contract vendor without further effort to
find competitive vendors or prices, since that process has been completed in advance. Note:
From time to time, releases will be funded by funds from Federal Grants, Contracts, or
Subcontracts. Th
ose releases will be subject to Federal FAR flow
-
down terms and conditions as
listed below.


E. THE UNIVERSITY RESERVES THE RIGHT TO CANCEL ANY RESULTING
CONTRACT IF SERVICE PROVES TO BE UNSATISFACTORY.

F. Contractor is responsible for parking on
campus. The successful contractor should obtain
parking permits from the UMCP Department of Campus Parking. Contractor must follow
University regulations for parking at all times.


Request For Quotation Terms and Conditions



1.

Quotes containing terms and

conditions contrary to the University of Maryland's terms and conditions or taking
exception to any of the terms and conditions in this Request For Quotation may be considered non
-
responsive
and your quote may be rejected.

2.

Quotes on comparable items are invited. Minor deviations in size and operational characteristics from those set
forth in this Request For Quotation (RFQ) will be considered when such deviations do not alter nor deter the users
from accomplishing its intend
ed use or function. If the product offered does not meet specifications in a minor
way, the offeror
must

clearly indicate in writing where the products deviate from the specifications. The offeror
must also explain how their product accomplishes the desi
red function. Vendors who do not comply with this
request may not have their quotation considered for award.

3.

All shipments shall be made F.O.B. Destination
.
Quotes that do not include shipping terms of F.O.B.
Destination may be considered unacceptable
and may be rejected.


4.

Unless otherwise specified herein by the University, all materials are to be new, and of first quality.

5.

The University requires the successful Quoter to provide a direct manufacturer's warranty, held by the University,
and which the U
niversity may avail itself with direct contact with the manufacturer. Please specify the duration of
the manufacturer's warranty that will apply to the items offered and indicate if the warranty includes parts and
labor.

6.

Time is of the essence. Be specif
ic when quoting proposed delivery. Delivery may be a factor considered in
making the award.

7.

By submitting this Quote, offeror agrees that all prices are valid for 90 days from the date of University receipt
of the quotation.

8.


Minority Business Enterprises are encouraged to respond to this quotation.

9.

Basis of Award.

Technical merit and price will have equal weight. The Procurement Officer will
recommend contract award to the responsible contractor whose proposal is determin
ed to provide
overall best value to the University, considering the requirements in this Request for Quote (RFQ), and
price.




University of Maryland Purchase Order Terms and Conditions


1.
Maryland Law Prevails
. The laws of Maryland shall govern
interpretation and enforcement of this Purchase
Order.

2.
Termination for Convenience
: The University may terminate this Purchase Order, in whole or in part, without
showing cause upon prior written notice to the contractor specifying the extent and the

effective date of the
termination. Termination hereunder, including the determination of the rights and obligations of the parties, shall be
governed by the provisions of the University System of Maryland Procurement Policies and Procedures.

3.
Change
s
. This Purchase Order may be modified with the consent of both parties. Modifications may not change
signifi
cantly the scope of the Purchase Order.

4.
Contractor's Invoices
. Contractor agrees to include on the face of all invoices billed to the Univer
sity, its
Taxpayer Identification Number, which is the Social Secu
rity Number for individuals and sole proprietors and the
Federal Employer Identification Number for all other types of organizations. If a Purchase Order document is
issued, the Purchase O
rder Number must be included. Contractor shall send a separate invoice, in triplicate, for this
purchase order.

5.
Incorporation by Reference
. All terms and conditions of the solicitation, and any changes thereto, are made a
part of this purchase order
.

6.
Tax Exemption
. The State is generally exempt from federal excise taxes, Maryland sales and use taxes, District
of Columbia sales taxes, and transporta
tion taxes. Exemption certificates shall be completed upon request. Where a
contractor is required to furnish and install material in the construction or improvement of real property in

performance of a purchase order, the Contractor shall pay the Maryland

Sales Tax and the exemption does not
apply.

7.
Specifications
. All materials, equipment, supplies or services shall conform to fed
eral and State laws and
regulations and to the specifications con
tained in the solicitation (if applicable).

8.
Delive
ry
. Delivery shall be made in accordance with the solicitation specifi
cations. The University, in its sole
discretion, may extend the time of per
formance for excusable delays due to unforeseeable causes beyond the
Contractor's control. The University uni
laterally may order in writing the suspension, delay, or interruption of
performance hereunder. The University reserves the right to test any materials, equipment, supplies, or services
delivered to determine if the specifications have been met.
The Contra
ctor agrees to perform the work continuously
and diligently and no charges or claims for damages shall be made by it for any delays or hindrance, from any cause
whatsoever, during the progress of any portion of the work specified in this purchase order.

9.

Acceptance of Goods and/or Services

The materials listed in the bid or proposal shall be delivered FOB
Destination to the point or points specified on this purchase order. Any material that is defective or fails to meet the
terms of the solicitation
specifications shall be rejected. Rejected materials shall be promptly replaced. The
University reserves the right to purchase replacement materials in the open market. Contractors failing to promptly
replace materials lawfully rejected shall be liable for

any excess price paid for the replacement, plus applicable
expenses, if any.

10.
Termination for Default
. When the Contractor has not performed or has unsatisfactorily performed the purchase
order, payment shall be withheld at the discretion of the Univ
ersity. Failure on the part of a Contractor to fulfill
contractual obligations shall be considered just cause for termination of the purchase order and the Contractor is not
entitled to recover any costs incurred by the Contractor up to the date of termina
tion. Termination hereun
der,
including the determination of the rights and obligations of the parties, shall be governed by the provisions of the
University System of Maryland (USM) Procurement Policies and Procedures.

11.
Disputes
. This purchase order
shall be subject to USM Procurement Policies and Procedures. Pending
resolution of a claim, the Contractor shall proceed dil
igently with the performance of the purchase order in
accordance with the procurement officer's decision.

12.
Multi

Year Purchase

Orders
. If funds are not appropriated or otherwise made available to sup
port continuation
in any fiscal year succeeding the first fiscal year, this purchase order shall terminate automatically as of the
beginning of the fiscal year for which funds are
not available. The Contractor may not recover anticipatory profits or
costs incurred after termination.

13.
Intellectual Property
. Contractor agrees to indemnify and save harmless the University, its officers, agents and
employees with respect to any clai
m, action, cost or judgment for patent infringement, or trademark or copyright
viola
tion arising out of purchase or use of materials, supplies, equipment or services covered by this purchase order.

14.
Conflicting Terms
. Any proposal for terms in additi
on to or different from those set forth in this purchase order
or any attempt by the Contractor to vary any of the terms of this offer by Contractor's acceptance shall not operate as
a rejection of this offer, unless such variance is in the terms of the de
scription, quantity, price or delivery schedule,
but shall be deemed a material alteration thereof, and this offer shall be deemed acceptable by the Contractor
without the additional or different terms. If this purchase order is an acceptance of a prior of
fer by the Contractor,
the acceptance is expressly conditioned upon Contractor's assent to any additional or different terms contained
herein. The Con
tractor understands and agrees that the terms and conditions of this purchase order may not be
waived.

5.
Retention of Records
. The Contractor shall retain and maintain all records and documents relating to this
Purchase Order for three years after final payment by the State hereunder or any applicable statute of limitations,
whichever is longer, and sh
all make them available for inspection and audit by authorized representatives of the
State, including the procurement officer or designee, at all reasonable times.

16.

18.
Compensation


Contractor shall be paid only for items or services that are specifically named in this purchase order.
No additional costs for items or services will be paid by the University without its prior express written consent.

Payment of University Obliga
tions

Payments to the Contractor pursuant to this Purchase Order shall be made no
later than thirty (30) days after the University's receipt of a proper invoice from the Contractor. Charges for late payment

of invoices, other than as prescribed by Title

15, Subtitle 1, of the State Finance and Procurement Article, Annotated
Code of Maryland, or by the Public Service Commission of Maryland with respect to regulated public utilities as
applicable, are prohibited.
