Terms and Conditions
:

All quotations are
FOB jobsite

on a closed top truck, not unloaded, unless otherwise noted in our project quotation. All
quotations are subject to owner or specifying engineer’s approval of our project submittals. All quotations are valid for
30 days from date of quotation unless other
wise noted. Federal, state, and local taxes are not included. Federal, state,
and local code compliance is strictly the responsibility of the owner and their engineers and/or representatives. CPS is
not responsible for serving and paying fees for permits,
licenses, certificates, inspections, registration, and the like
required by the state, city, town government, or regulatory agency that may be required in any way for the installation
and operation of the above quoted equipment.


This proposal, along with
your purchase order and our approval submittals, represent the complete contract. It may not
be modified except by written agreement of both parties. These specific Power Generation Terms and Conditions take
precedence over generic contractor purchase orde
rs concerning all matters related to generator systems sales, start
-
up,
and warranty.


Terms and conditions are net 30 days from invoice date subject to our credit department approval unless otherwise
noted herein. A late charge of 1.5% per month will be i
mposed on any overdue balance until paid. Start
-
up services will
not be provided until invoices for equipment are paid, including any late charges. Remaining unpaid balances are due
immediately after start
-
up services.


Start
-
up
must be scheduled with the
service department one week prior to the requested Start
-
Up date. Credit Dept.
approval must be received prior to performing any Start
-
Up. The Start
-
Up will include starting batteries. GENSETS are
shipped full of oil and coolant/anti
-
freeze. Contractor is
responsible for assisting in filling of remote cooling systems.
The service department will fax a “
Generator Set Start
-
Up Checklist
” to contractor upon Start
-
Up request. This must
be completed, signed, and returned to verify project installation, completen
ess and reserve
Start
-
Up
date. A licensed
electrician must be present during the
Start
-
Up
to make any changes or modifications required to make the system
operational. Other manufacturer tech reps must be present at start
-
up if their equipment interacts or

is controlled by
generator and ATS system components. An authorized customer representative must be present at
Start
-
Up
, if
customer acceptance is required. Customer training, operating instructions, and demonstration, if required, will be
completed durin
g the initial Start
-
Up only. One normal working day is allotted for Generator Set and Switchgear Start
-
Up. Any additional trips to complete the Start
-
Up because “Generator Set Start
-
Up Checklist” items are not completed
will be invoiced at our standard tim
e and materials rate. All warranties begin on the
Start
-
Up
date regardless of
building occupation or acceptance. Credit Department approval must be received prior to Start
-
Up.

A building load test or load bank test
will not be done unless specifically lis
ted in our bill of materials. All building
load tests and load bank tests will be completed in accordance with engineering specifications or NFPA 110 as
applicable. A 100% resistive load bank will be used for all load bank test requirements. Contractor/own
er is responsible
for providing direct load bank connection access within 100 ft. of load bank placement. Provisions must be made for
proper cooling and safety zones around trailer mounted load banks. Additional charges may be incurred for longer or
diffic
ult access. Load bank testing is dependent on acceptable weather as determined by Cummins Power Systems,
LLC personnel.


Cummins Power Systems, LLC warranty does not warrant the sale of new or remanufactured products, manufactured
or remanufactured by, thi
rd parties. The only manufacturers, or remanufacturers, whose warranties are administered by
Cummins Power Systems, LLC are Cummins, Inc., Diesel ReCon Company, and Onan Corporation. The customer
should contact other manufacturers, or remanufacturers, dire
ctly for claims under their warranties. Copies of
manufacturers’, or remanufacturers’, warranties are available upon request.


The liability of Cummins Power Systems, LLC arising out of any defects that shall not in any case exceed the cost of
correcting s
uch defects in accordance with the aforementioned warranties and shall not include any transportation
charges, owner’s labor or materials, loss of revenue, or any direct or indirect consequential damages whether
foreseeable or not.


Cummins Power Systems,

LLC makes no warranty as to normal wear and tear, nor do we agree to be liable for loss of
time to the user while the engine or other equipment is out of commission, nor for any labor or other expense, damage
or loss occasioned, or claimed to be occasione
d, by defective parts.


Note: There are no warranties, expressed or implied, including warranties or merchantability or fitness for a particular
purpose by Cummins Power Systems, LLC or any of its dealers, except the warranties specified herein. No person
is
authorized to bind Cummins Power Systems, LLC for any such other warranty.


Not withstanding any of the above, the liability in contract, in tort, under any warranty, in negligence or otherwise of
Cummins Power Systems, LLC shall not exceed the return o
f the amount of the purchase price. Under no
circumstances shall Cummins Power Systems, LLC be liable for consequential damages. The prices for Cummins
Power Systems, LLC products are based upon and in consideration for limiting the liability of Cummins Po
wer
Systems, LLC.


Standard factory lead
-
times will apply after receipt of approval to proceed with fabrication.
Delivery dates are based on
current information at time of release. When the equipment is ready, we will ship to the location you have designat
ed.
If the jobsite is not ready or if you do not accept delivery, we will pass along all applicable storage and redelivery
charges. Our established terms of payment will apply once the initial delivery attempt commences.


Any order canceled after it has be
en released for production will be subject to a cancellation charge. The charge will be
15% of all standard Cummins/Onan factory production items, plus up to the full value of all custom items from the
Cummins/Onan factory and other suppliers. Any order ca
nceled within 2 weeks of the Cummins/Onan scheduled ship
date will be subject to a 95% cancellation fee.


The equipment in this proposal meets current EPA emission guidelines for standby generator sets. The proposal must
be reviewed for compliance with th
e EPA guidelines at the time the equipment is formally released for production. If
new guidelines (EPA or other) are in effect at the time of release, generator set model, as well as pricing may change.
