8.

System Maintenance
.
In order to ensure functionality during
warranty

vendor would provide System Maintenance, which would include hardware maintenance and
system software

maintenance
. Vendor will provide the following:

(a)

Implementation of Hardware
.

The hardware will be fully implemented by the
Vendor. All modules will be integrated and necessary software loaded. The methodology of
implementation will be produced to signals branch and when fully accepted the hardware
will be implemented/deployed by t
he Vendor.

b
)

During
the period of warranty (Three years
) the vendor will ensure that the system
continues to perform in exactly the same manner as at the time of acceptance.

(
c
)

Placement of Service Engineer at
Record Branch

for maintenance of the
ha
rdware

for the duration of warranty. This date is considered from the date of fully accepting

t
he
implementation of hardware by Signals Branch.

The service engineer must be technically
competent to provide technical assistance and service during warrenty.


(

)

Hardware Maintenance
.


(i)

The hardware will be replaced/repaired by the firm within
48 hours

of
occurring of fault.

(ii)

A penalty @

% of the cost of hardware per day will be charged from
vendor for first 30 days. If still eqpt

is not repaired then HQ DGAR can get if repaired
from any third party and cost will be borne by the vendor.

(e)

Maintenance
. This would include periodic testing, for mutually decided periods in
addition to attending to any breakdowns on occurrence or fail
ure due to any
software/hardware problem.

(e)

Commercial/Bought out Software
.

Vendor’s responsibility in this regard would be
to provide updates/upgrades, which come free of cost from the Principal. As and when the
user wishes to upgrade commercial softw
are, vendor would provide complete assistance
during the maintenance period. In case of a crash the vendor will be responsible for
reloading the OS and recreating the operating environment.

(f)

Arrangements for Warranty.

angement/exercising of support b
ack options with the OEM for the

second and
third year of warranty, shall be provided on placement of supply order.

Failure to provide
sufficient proof for the arrangements shall either result in non

processing of payments due
to the vendor or cancellation of supply order.

Completion report
.

The same will be approved and implemented by a Board of Officers
constituted by the User. All required technical help required for the same will be made available by
the vendor. The
Hardware

will be established in such a way that it fully suits the user re
quirement.
In case any changes are required to be made in the
installation of Hardware
during acceptance
stage the same will be worked out by the user and implemented by the vendor

Payment Terms
.

Since separate pricing has been asked for Hardware and
its
installation, following payment terms will be followed:
-


(a)

0% of the cost of Project on receipt of Hardware at EDP Cell in good condition.


(b)

0% of the cost of Project on installation and configuration of
Hardware at Record

Branch of HQ DGAR,
subject to checking and acceptance by the authorities so detailed by

Director General Assam Rifles or his authorized representative.

.

Penalty Clause


(a)

If the supplier fails to
deliver the hardware within

days
, the vendor will pay to the
customer liquidated damages at the rate of point five percent (0.5%) of the total value of the
project cost, for every week of delay or part of a week, subject to the maximum value of the
liquidated Damages being
ten

percent (

%) of the value of supply order. Thereafter the
customer will have right to terminate the supply order and encash the bank guarantee given
for acceptance of the supply order/against any part payment.


(a)

If the supplier fails to implement the system in

full as per implementation schedule
within the
implementation

Method of Payment of LD

. The amount charged as liquidated damages shall be deducted by the customer from the
amount due for payment to the vendor. If the amount of such LD exceeds the payments due to the
vendor, the vendor shall within 30 (thirty) days make payment to the cu
stomer in full for final
settlement of claims failing which the Bank Guarantee will be encashed to make good the amount
exceeding the payments due to the vendor.

Forfeiture of Earnest Money

The EMD of a tenderer will be forteited, if the tenderer withdraws or amends its tender or
imp
airs or derogates from the tender in any respect within the period validity of its tender. Further,
if the successful tenderer fails to furnish the required performance security within the specific
period, its EMD will be forfeited

Forfeiture of Security

In the event of contractor failing to perform his part of contract to satisfaction of the
Department or disregards any terms and conditions of tender notice/work order, contractor shall be
liable to any or all of the following action at the dis
cretion of the Director General Assam Rifles:

Forfeiture of Security Money in whole or part.

(b)

Make goods the loss caused to the Government through inability neglect or delay to
comply with any demand.


(c)

Cancellation of contract without
any prior notice.

The earnest money of successful tenderer will be refunded on submission of security money
as per paragraph

Compensation

The successful tenderer will be intimated by a letter of acceptance of his/her/their tender by
the Directorate General Assam Rifles. Till then no tenderer

has any right to assume that
his/her/their tender has been accepted and if any tenderer disregards this warning and makes any
arrangements or incurs any expenditure in anticipation of issue of letter of acceptance, he/she/they
will have no claim whatsoeve
r for any compensation at a later stage.

Rejected Stores

.

If the appointed contractor fails to remove the bad/damaged/rejected stores of above items
whatever the case may be from EDP Cell, within the reasonable period i.e. 45 days from the date of
issu
e of letter to contractor. The Director General Assam Rifles or his representative shall forfeit
the rejected stores without assigning any further notice.

You

will undertake to provide

COMPREHENSIVE WARRANTY

for the complete systems to include hardware, operating system
and peripherals, commencing on the date of acceptance. During warranty,
you

will repair/replace
without any cost any equipment/part/accessory, which becomes defe
ctive except items of a
consumable nature. During the warranty period all warranty benefits received by
you

from the
OEMs, for any equipment pertaining to third parties will be passed on
in toto

to the
Customer
.

ON
TERMINATION OF THE WARRANTY THE VENDOR SH
ALL ENTER INTO THE AMC WITH THE
DGAR, SHILLONG AS PER THE EXISTING TERMS AND CONDITIONS.

.

Conditions During Warranty
. The systems should fulfill the following conditions during the
warranty:
-

(a)

Any failure in the system or a subsystem thereof should be rectified within a
maximum period of
48 hours

of lodging a complaint, including loading of operating software
if required.

(b)

If the system is down beyond
48 hours
, penalty at the rate of
.5%
of
the cost of
hardware

per day per system will be charged or recovered out of the Bank Guarantee held
toward warranty/AMC. In case of any system/sub system being down for more than seven
working days, user has the option to get it repaired from any suitable

agency at the risk and
cost of vendor, which will be deducted from the Bank Guarantee due to vendor.

(c)

Any system failing at subsystem level three times within a period of

three months or displaying chronic faulty behaviour or manufacturing defects or quali
ty
control problems will be totally replaced by the vendor at his risk and cost within 30 days of
being intimated.

.

Token LD Clause

Situation when changing of full liquidated damages may not be justified
for situation beyond control of the supplie
r, in such case, at the sole discretion of the purchaser,
Token liquidated damage upto 10% of the normal liquidated damages be imposed by the
competent financial authority
.

Uptime
.

You will guarantee to provide 99% uptime during warranty. In case

of failure
to maintain 99% uptime the proportionate loss to the Government will be made good by you.
Alternatively, warranty may be extended by the duration for which you have been unable to provide
specified uptime. The discretion to exercise either of t
he these options lies with DGAR, Shillong.
Details of uptime shall be submitted by you, at least one month prior to expiry of warranty duly Call
Reports.
You will also maintain a record of down time based on calls for service made on you
and a quarterly re
port shall be submitted by you
. If option to extend warranty period is
exercised, Bank Guarantee would be accordingly extended by you to cover warranty period.


General

.

The tender should be submitted in accordance with the above clauses failing whic
h tender
may be rejected at the discretion of Director General Assam Rifles. The Director General Assam
Rifles also reserve the right to accept any tender in whole or in part, reject any tender or all tenders
without assigning any reasons whatsoever or

to carry out negotiation with the tenderers in the
manner considered suitable in the best interest of State. The approved tenderer will have to abide
by all the terms and conditions of this tender notice and same will remain in force during the
currency
of the contract.



Arbitration


28
.

In the event of any question, dispute or difference arising under these conditions or any
special conditions of contract, or in connection with the contract (except as to any matters the
decision of which is specificall
y provided for by these of the special conditions), The same shall be
referred to Directorate General Assam Rifles who may appoint an officer of the department as sole
arbitrator or some other person. The arbitrator shall be final and binding on the partie
s to this
contract. In case of disputes arising out of contract, the Shillong court has the exclusive Jurisdiction.
The Tenderers while submitting the tenders shall render a certificate to have agreed to this clause.

Directorate General Assam Rifles reserve the right to accept or reject any or all tenders
without assigning any reason.
